EPX Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and EPX, Inc. ("EPX," "we," "our," or "us") governing your access to and use of EPX's websites, applications, AI platform, account-holder network, communications channels, APIs, MCP connectors, webhooks, workflows, content, software, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" means that entity and its authorized users.

1. Eligibility and Account Registration

  • You must be at least 18 years old and legally capable of entering into these Terms.
  • You must provide accurate, current, and complete information and keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account or through your devices, tokens, or connected services.

2. The Services

EPX provides an AI operating platform that may include agentic tools, workflow orchestration, integrations, APIs, MCP connectors, webhooks, AI-assisted outputs, communications tools, account-holder networking features, and guided or managed deployment services.

Some portions of the Services may allow account holders to share tactics, installs, software tools, workflows, recommendations, opportunities, templates, commentary, and related materials. EPX may host, surface, or distribute those materials, but unless EPX expressly labels content as EPX-authored, EPX does not sponsor, endorse, certify, monitor, or guarantee the accuracy, safety, legality, compatibility, or fitness of user-shared or third-party-shared content, tools, installs, or workflows.

3. Workspace Administrators and Authorized Users

If you create or administer a company account, workspace, group, or managed deployment, you are responsible for:

  • inviting and removing users;
  • assigning permissions, roles, and approval rules;
  • determining what data, tools, and integrations may be connected;
  • reviewing and accepting third-party terms applicable to connected services;
  • ensuring your authorized users comply with these Terms and the Acceptable Use Policy; and
  • all actions taken through your workspace, connected accounts, credentials, workflows, agents, and automations.

EPX may rely on instructions, approvals, and configurations from workspace administrators and authorized users.

4. Customer Content and Licenses

As between you and EPX, you retain your rights in Customer Content that you submit, upload, post, connect, store, or otherwise make available through the Services (subject to rights of third parties and applicable law).

You grant EPX and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, display, perform, create derivative works from, and otherwise use Customer Content as reasonably necessary to provide, secure, support, improve, and administer the Services, including to process workflows, generate outputs, troubleshoot issues, prevent abuse, and comply with law.

If you choose to share Customer Content through network or collaboration features, you also grant EPX the rights necessary to display, distribute, and make that content available in accordance with your settings and the functionality of the Services.

You represent and warrant that you have all rights, consents, permissions, and legal bases necessary for EPX to process Customer Content and related data as contemplated by the Services, these Terms, and the Privacy Policy.

5. Your Responsibilities

You are responsible for:

  • all Customer Content and activities associated with your account, workspace, connected tools, workflows, agents, and automations;
  • evaluating whether the Services are appropriate for your use case, legal obligations, and regulatory environment;
  • reviewing and validating outputs, recommendations, classifications, generated content, and workflow actions before relying on or implementing them;
  • maintaining your own backups, records, and audit trails for important business decisions and data; and
  • using the Services in compliance with law, contracts, and third-party platform rules.

Your own personal or business outcomes using features and services or advice/assets from others

EPX is not your employer, advisor, fiduciary, broker, law firm, accounting firm, medical provider, or managed compliance provider unless a separate signed agreement expressly states otherwise.

6. Credentials, Secrets, and Connected Accounts

The Services may require or support the use of API keys, access tokens, refresh tokens, OAuth grants, session credentials, webhook secrets, MCP connector secrets, passwords, and other authentication artifacts (collectively, "Credentials").

You authorize EPX to store, proxy, refresh, transmit, and otherwise use Credentials as reasonably necessary to provide the Services you enable.

You are solely responsible for:

  • ensuring you have authority to connect each account and integration;
  • selecting appropriate scopes and permissions;
  • protecting and rotating Credentials;
  • revoking access when no longer needed; and
  • monitoring the actions performed through your connected accounts, workflows, and automations.

EPX may disable, rotate, invalidate, or require replacement of Credentials where EPX reasonably believes doing so is necessary to protect the Services, users, or third parties.

7. AI Features and Output

The Services may use AI models, automated reasoning, retrieval systems, decision-support tools, and third-party AI providers to generate summaries, drafts, classifications, plans, recommendations, actions, communications, or other outputs ("Outputs").

Outputs may be incomplete, inaccurate, outdated, misleading, biased, unavailable, or unsuitable for your specific circumstances. AI systems may hallucinate, omit relevant information, misclassify inputs, or produce inconsistent results.

Unless EPX expressly agrees otherwise in a signed writing, Outputs are provided for informational and operational assistance only and do not constitute legal, tax, accounting, employment, investment, insurance, medical, psychological, or other professional advice. They are provided as is.

You are solely responsible for reviewing, testing, validating, approving, and deciding whether and how to use Outputs.

EPX may change, suspend, limit, route among, or discontinue models, providers, features, and AI-related functionality at any time.

8. Integrations, APIs, MCP Connectors, Webhooks, and Off-Platform Processing

The Services may interoperate with third-party platforms, software, data sources, APIs, MCP connectors, webhooks, cloud services, communication systems, storage systems, model providers, workflow tools, and other external services (collectively, "Third-Party Services").

By enabling or using Third-Party Services, you authorize EPX to access, receive, transmit, transform, route, monitor, log, store, proxy, refresh, and otherwise process Customer Content, Outputs, metadata, Credentials, and related information as reasonably necessary to facilitate the functionality you request.

You acknowledge and agree that substantial processing, storage, communications, execution, model interaction, logging, and workflow steps may occur partly or entirely outside the EPX platform on Third-Party Services that EPX does not own or control.

EPX is not responsible for the availability, performance, uptime, security, privacy practices, data handling, compliance posture, acts, omissions, errors, output quality, pricing/costs, compatibility, or changes of any Third-Party Service. Your use of Third-Party Services is subject to the terms and policies of those providers.

You may not use EPX to bypass or violate the technical controls, contractual restrictions, or platform rules of any Third-Party Service.

9. Usage Limits and Fair Use

EPX may impose, monitor, and enforce limits on accounts, users, connectors, API calls, runs, executions, token usage, storage, outbound communications, workflow volume, automation frequency, and similar resource consumption.

EPX may throttle, suspend, limit, or require plan changes if your use is excessive, abusive, technically risky, inconsistent with the intended design of the Services, or likely to impair the Services for others.

10. Beta, Preview, and Experimental Features

EPX may offer beta, preview, pilot, alpha, early access, or experimental features (collectively, "Beta Features"). Beta Features may be incomplete, unsupported, unavailable, or changed or discontinued at any time.

Unless otherwise stated in writing, Beta Features are provided "AS IS," with no service commitments, no performance warranty, and no obligation of continued availability or backward compatibility.

11. Acceptable Use

You must comply with the EPX Acceptable Use Policy, which is incorporated into these Terms by reference.

12. Feedback

If you provide ideas, suggestions, enhancement requests, corrections, comments, or other feedback regarding the Services, you grant EPX a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use that feedback for any lawful purpose without restriction or compensation.

13. Monitoring, Investigation, and No Duty to Monitor

EPX may, but is not obligated to, monitor, review, screen, investigate, flag, remove, disable, preserve, or disclose content, workflows, accounts, connectors, installations, and activity in order to operate the Services, enforce these Terms, investigate complaints, protect users, protect third parties, or comply with law.

EPX does not undertake any duty to monitor the Services, and EPX is not responsible for failing to detect, prevent, remove, or remediate any content, activity, workflow, installation, or misuse.

14. Suspension, Emergency Actions, and Termination

EPX may suspend, restrict, throttle, disable, remove, or terminate access to all or any portion of the Services, including any account, workspace, workflow, connector, integration, webhook, agent, installation, output stream, or network feature, at any time if EPX reasonably believes:

  • you violated these Terms, the Acceptable Use Policy, or applicable law;
  • your use creates legal, regulatory, operational, security, reputational, or financial risk;
  • a third-party provider, integration partner, or law enforcement authority requires or requests action;
  • payment is overdue;
  • there is suspicious activity, unauthorized access, abuse, or system strain; or
  • emergency action is necessary to protect EPX, users, third parties, or the Services.

EPX may take emergency action without prior notice where circumstances reasonably require it.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

15. Confidentiality and Security

You must use reasonable efforts to protect non-public information you access through the Services and must not access, use, or disclose another party's non-public information except as authorized.

EPX implements commercially reasonable safeguards, but no system is completely secure or continuously available.

16. Export Controls and Sanctions

  • You may not use, export, re-export, import, transfer, or provide access to the Services except as authorized by applicable export control, sanctions, and trade laws.
  • You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of a person or entity located in or subject to embargoes or comprehensive sanctions, and that you are not listed on any applicable restricted-party list.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, NETWORK CONTENT, SHARED TOOLS, SHARED INSTALLS, SHARED WORKFLOWS, THIRD-PARTY SERVICES, BETA FEATURES, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

EPX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, EPX DOES NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, TIMELY, AVAILABLE AT ANY PARTICULAR TIME, COMPATIBLE WITH ANY PARTICULAR SYSTEM, OR THAT THEY WILL ACHIEVE ANY SPECIFIC RESULT, REVENUE OUTCOME, COST SAVINGS, PRODUCTIVITY GAIN, BUSINESS IMPROVEMENT, CONVERSION RATE, LEAD VOLUME, OR OTHER PERFORMANCE METRIC.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPX AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, EXPECTED SAVINGS, OPPORTUNITIES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPX WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM OR RELATING TO: (a) Outputs or decisions made based on Outputs; (b) Customer Content; (c) shared content, installs, software tools, workflows, or interactions with other users; (d) Third-Party Services; (e) suspension, modification, throttling, or discontinuation of features; (f) unauthorized access, data loss, security incidents, or system failures; (g) Credential misuse or compromise; or (h) your failure to review, approve, test, validate, or maintain backups, or (i) any loss from the performance of Services execution delays.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EPX FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (1) THE TOTAL AMOUNTS YOU PAID TO EPX FOR THE APPLICABLE PAID SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU USED ONLY FREE SERVICES.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

19. Indemnification

You will defend, indemnify, and hold harmless EPX, its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any third-party claims, demands, actions, proceedings, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer Content; (b) your use of the Services; (c) your instructions, automations, workflows, prompts, outputs, or configurations; (d) your use of or connection to any Third-Party Service; (e) your connected accounts, Credentials, or authorized users; (f) your violation of these Terms, the Acceptable Use Policy, or applicable law; or (g) your infringement, misappropriation, or other violation of any third-party rights.

20. No Agency, Partnership, or Employment Relationship

Your use of the Services, participation in the account-holder network, or interaction with other users, experts, partners, or service providers does not create any agency, brokerage, fiduciary, employment, franchise, joint venture, partnership, or similar relationship between you and EPX.

21. Changes to the Services and Terms

EPX may modify, update, suspend, or discontinue any aspect of the Services at any time.

EPX may update these Terms from time to time. If we make material changes, we will post the revised Terms on this page and update the Last Updated date. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. To the extent any dispute is permitted to proceed in court, the state and federal courts located in Texas will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

23. Miscellaneous

These Terms, together with any documents incorporated by reference and any applicable order forms or statements of work, constitute the entire agreement between you and EPX regarding the Services unless superseded by a signed written agreement.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

You may not assign these Terms without EPX's prior written consent. EPX may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or to an affiliate.
